These Terms and Conditions govern your use of Neeko’s services and website at neeko.my. By engaging Neeko for any service — including SEO, web design, social media management, AI automation, or creative studio — you agree to the terms set out below. Please read them carefully before proceeding.
Neeko is a digital marketing agency based in Kuala Lumpur, Malaysia, providing SEO Malaysia, web design Malaysia, social media management, AI automation, and creative studio services to Malaysian businesses. Neeko operates under the registered business name Neeko — Berduasama Niaga.

In these Terms and Conditions:
3.1 An engagement with Neeko begins upon the Client’s written acceptance of a service proposal or invoice, or upon receipt of the agreed upfront payment — whichever occurs first.
3.2 These Terms and Conditions apply to all services provided by Neeko and form part of every Agreement unless explicitly superseded by a separate written contract signed by both parties.
3.3 Any changes to the agreed scope of work must be confirmed in writing by both parties before additional work commences.
4.1 Upfront Commitment. Monthly retainer services — including SEO, social media management, and AI automation — require a minimum three-month upfront commitment upon engagement. This upfront payment covers the first three months of the agreed service and is non-refundable once work has commenced.
4.2 Ongoing Monthly Payments. From month four onwards, monthly retainer fees are billed in advance at the start of each calendar month. Invoices are due within seven days of issue unless otherwise agreed in writing.
4.3 One-Time Projects. Web design projects and creative studio one-time design or photography packages require a fifty percent deposit upon project commencement, with the remaining balance due upon project completion and prior to final file delivery or website launch.
4.4 Late Payment. Neeko reserves the right to pause or suspend active services if payment is not received within fourteen days of the invoice due date. Neeko accepts no liability for any business impact resulting from a service suspension caused by late payment.
4.5 Currency. All pricing is quoted and invoiced in Malaysian Ringgit (RM) unless otherwise specified in writing.
4.6 Price Changes. Neeko reserves the right to revise service pricing with thirty days’ written notice to the Client. Existing Clients on active retainers will not have pricing changed within a confirmed payment period.
5.1 Neeko provides SEO services including keyword research, on-page optimisation, technical SEO, off-page link building, local SEO, Google Business Profile management, SEO content, and monthly reporting.
5.2 No Guarantee of Rankings. While Neeko has a strong track record of achieving first-page Google rankings for clients, no SEO agency can guarantee specific ranking positions or timelines. Search engine algorithms are controlled by third parties and are subject to change without notice. Neeko commits to applying best-practice, data-driven SEO strategies on behalf of the Client — not to guaranteed outcomes.
5.3 Timeline Expectations. Most Neeko SEO clients begin seeing measurable keyword movement within sixty to ninety days of campaign launch. First-page rankings are typically achieved within four to six months depending on industry competition, website health, and keyword difficulty.
5.4 Client Responsibilities. The Client agrees to provide timely access to the website, Google Analytics, Google Search Console, and any other platforms required to deliver the SEO campaign. Delays caused by the Client’s failure to provide access may affect campaign timelines.
5.5 Third-Party Tools. Neeko uses third-party SEO tools including SEMrush, Ahrefs, and Google Search Console to deliver SEO services. The Client acknowledges that data and reports generated by these tools are subject to the accuracy and availability of those third-party platforms.
5.6 Content Ownership. All SEO content, including blog posts produced by Neeko under the agreed service, becomes the Client’s property upon full payment of the applicable invoice.
6.1 Neeko provides web design services including website design and development on WordPress and Elementor, e-commerce development on WooCommerce, website redesign, site speed optimisation, and post-launch maintenance and support.
6.2 Project Timelines. Most Neeko web design projects are completed within seven to fourteen business days from the date a complete brief is received and confirmed. Timelines may be extended if the Client delays in providing required content, approvals, or feedback.
6.3 Unlimited Amendments. All Neeko web design projects include unlimited amendments during the active build phase. Amendments requested after the final sign-off and website launch are covered under the post-launch support period. Amendments that constitute a material change to the original agreed scope may be subject to a revised quote.
6.4 Client Content. The Client is responsible for providing all text, images, logos, and brand assets required for the website unless content production has been explicitly included in the agreed scope. Neeko accepts no liability for delays resulting from late or incomplete content provided by the Client.
6.5 Domain and Hosting. Neeko will assist with domain and hosting setup as part of the standard web design service. The Client is responsible for all domain registration fees and ongoing hosting subscription costs unless a separate arrangement is agreed in writing.
6.6 Ownership and Handover. Upon receipt of full payment, the Client owns all website files, design assets, and content produced under the project. Neeko will provide full handover including access credentials upon project completion.
6.7 Third-Party Plugins and Software. Websites may include third-party WordPress plugins, which are subject to their own licensing terms. Neeko is not responsible for changes, discontinuation, or security vulnerabilities introduced by third-party plugin developers after project handover.
6.8 Post-Launch Support. Every Neeko web design project includes a post-launch support period covering unlimited requests for bug fixes, content updates, and technical adjustments. The duration of this support period is as specified in the agreed project proposal.
7.1 Neeko provides social media management services including content strategy and planning, graphic design, caption copywriting, platform management, community management, reels and short-form video content, and monthly performance reporting.
7.2 Content Approval. Neeko will share a monthly content calendar for the Client’s review and approval at least two weeks before the start of each publishing month. The Client is responsible for reviewing and approving content within the timeframe specified. Delays in approval that affect publishing schedules are the Client’s responsibility.
7.3 Platform Access. The Client must provide Neeko with the necessary access to manage the agreed social media platforms. Neeko accepts no liability for content that cannot be published due to platform access issues caused by the Client.
7.4 Client-Provided Media. Where the Client provides organic photos or videos for use in content creation, the Client warrants that they hold full rights to that media and that its use by Neeko does not infringe any third-party rights. Neeko accepts no liability for claims arising from Client-provided media.
7.5 AI-Generated Visual Content. Where the Client does not provide sufficient organic media, Neeko may produce AI-assisted visual content to maintain publishing consistency. All such content is reviewed and approved by Neeko’s in-house creative team before use.
7.6 Platform Algorithm Changes. Social media platform algorithms, reach, and engagement metrics are controlled by third parties and are subject to change without notice. Neeko commits to applying best-practice strategies in response to algorithm changes but accepts no liability for reductions in organic reach caused by third-party platform decisions.
7.7 Community Management. Neeko will manage comments and direct messages as specified in the agreed service plan. Neeko reserves the right to escalate any sensitive, legal, or crisis-level communications to the Client immediately and without prior action.
7.8 Performance Metrics. Social media performance metrics — including follower counts, reach, engagement rates, and enquiry volumes — are indicative outcomes influenced by many external factors. Neeko does not guarantee specific metric targets.
8.1 Neeko provides AI automation services including WhatsApp AI chatbot configuration, website live chat automation, lead capture and qualification automation, appointment and booking automation, workflow and process automation, and custom AI solution development.
8.2 Setup and Deployment. Starter single-channel AI automation setups are typically deployed within seven to ten business days from final workflow approval. Growth tier multi-channel deployments are typically completed within fourteen to twenty-one business days. Custom AI builds are delivered to a timeline confirmed in writing before work commences.
8.3 Client Responsibilities. The Client is responsible for providing accurate and complete information about their business workflows, common customer enquiries, and required system integrations during the discovery phase. Incomplete or inaccurate information may result in automation systems that do not perform as expected. Neeko accepts no liability for performance issues arising from information provided by the Client.
8.4 WhatsApp Business API. WhatsApp chatbot automation requires access to the WhatsApp Business API. The Client is responsible for any fees associated with WhatsApp Business API usage charged by Meta or Neeko’s API provider. Neeko will advise on expected usage costs before deployment.
8.5 Third-Party Integrations. AI automation systems may integrate with third-party platforms including CRM systems, calendar tools, and messaging APIs. Neeko is not responsible for disruptions to automation performance caused by changes, downtime, or policy updates by third-party platform providers.
8.6 Human Escalation. Every AI automation system built by Neeko includes human escalation paths for queries outside the configured scope. The Client is responsible for ensuring that a human agent is available to handle escalated conversations within a reasonable response time.
8.7 Ongoing Optimisation. Monthly AI automation plans include ongoing conversation flow refinements, performance monitoring, and system updates. The Client acknowledges that AI systems require ongoing optimisation to maintain performance as business needs and customer queries evolve.
8.8 Accuracy. AI automation systems are designed to handle common, in-scope enquiries accurately. Neeko does not guarantee one hundred percent accuracy across all possible customer queries. Systems are configured and tested to minimise errors, and monthly refinements are conducted to improve accuracy over time.
9.1 Neeko’s Creative Studio provides graphic design and AI photography services including one-time design projects, monthly design subscriptions, and AI-generated photography packages across portrait, product, fashion, corporate, and brand categories.
9.2 Graphic Design — One-Time Projects. One-time graphic design is priced per artboard. One artboard equals one design asset. Projects are quoted transparently before work commences. Unlimited amendments are included on every one-time project until the Client signs off. No additional charges apply for revisions.
9.3 Graphic Design — Monthly Subscription. The monthly design subscription covers unlimited design requests processed one active task at a time, with a twenty-four to forty-eight hour turnaround per completed brief. The subscription is billed monthly and may be paused or cancelled with fourteen days’ written notice prior to the next billing date.
9.4 AI Photography. AI photography packages deliver one hundred high-resolution images per package from the Client’s submitted reference photos. The Client must submit clear, high-quality reference photos as specified in the package brief. Neeko accepts no liability for output quality resulting from poor-quality or insufficient reference photos provided by the Client.
9.5 Commercial Licensing. All AI photography delivered by Neeko Creative Studio is fully commercially licensed for use across the Client’s website, social media, e-commerce platforms, paid advertising, and print marketing. The Client may not resell, sublicense, or transfer the images to third parties without Neeko’s written consent.
9.6 Turnaround Times. Indicative turnaround times are one to three business days per artboard for one-time design, twenty-four to forty-eight hours per task for subscription requests, and three to seven business days for AI photography packages. Turnaround times are estimates and may vary during periods of high demand. Neeko will communicate any delays proactively.
9.7 Ownership. Upon full payment, the Client owns all graphic design files and AI photography images delivered under the project or subscription. Source files are included in all deliveries.
9.8 Client-Provided Assets. The Client warrants that any logos, brand assets, images, or other materials provided to Neeko for use in design work are owned by or licensed to the Client. Neeko accepts no liability for intellectual property claims arising from Client-provided assets.
10.1 All Deliverables produced by Neeko — including website designs, SEO content, social media content, design assets, AI photography, and automation systems — become the property of the Client upon receipt of full payment for the applicable service.
10.2 Neeko retains the right to display work completed for the Client in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing prior to project commencement.
10.3 Neeko’s own brand assets, methodologies, processes, templates, and proprietary tools remain the exclusive intellectual property of Neeko at all times.
11.1 Both parties agree to keep confidential any non-public information shared during the course of the engagement, including business strategies, financial information, customer data, and technical systems.
11.2 This confidentiality obligation survives the termination of the Agreement and continues indefinitely unless the information enters the public domain through no fault of either party.
12.1 Neeko collects and processes personal data in accordance with Malaysia’s Personal Data Protection Act 2010 (PDPA). For full details on how we collect, use, and protect personal data, please refer to our Privacy Policy at neeko.my.
12.2 The Client is responsible for ensuring that any customer data shared with Neeko — for example, in connection with AI automation or CRM integrations — is collected and shared in compliance with applicable data protection laws.
12.3 Neeko will not share, sell, or disclose Client data to third parties except where required to deliver the agreed services or where required by law.
13.1 Monthly Retainer Services. After the initial three-month upfront commitment period, monthly retainer services — including SEO and social media management — may be cancelled by either party with thirty days’ written notice prior to the next billing date.
13.2 AI Automation Monthly Plans. AI automation monthly plans may be cancelled with thirty days’ written notice. Cancellation does not affect the Client’s ongoing access to previously deployed automation systems, though Neeko’s ongoing optimisation and support obligations will cease on the termination date.
13.3 Design Subscription. Monthly design subscriptions may be paused or cancelled with fourteen days’ written notice prior to the next billing date.
13.4 One-Time Projects. One-time projects — including web design and photography packages — may not be cancelled once work has commenced. The Client’s deposit is non-refundable upon commencement of work.
13.5 Termination for Cause. Either party may terminate the Agreement immediately in writing if the other party materially breaches these Terms and Conditions and fails to remedy the breach within fourteen days of written notice.
13.6 Outstanding Payments. Termination of the Agreement does not release the Client from any outstanding payment obligations. All invoices issued prior to the termination date remain payable in full.
14.1 Neeko’s total liability to the Client under any Agreement shall not exceed the total fees paid by the Client to Neeko in the three months immediately preceding the event giving rise to the claim.
14.2 Neeko shall not be liable for any indirect, consequential, or loss-of-revenue damages arising from the provision or non-provision of services, including but not limited to loss of business, loss of profits, loss of data, or reputational damage.
14.3 Neeko accepts no liability for service interruptions, ranking fluctuations, reach reductions, or automation errors caused by third-party platform changes, algorithm updates, or technical failures outside Neeko’s control.
5.1 Neeko warrants that services will be delivered with reasonable skill and care, in accordance with industry best practices and the agreed scope of work.
15.2 The Client warrants that all information, assets, and content provided to Neeko for use in service delivery are accurate, legally owned or licensed by the Client, and do not infringe any third-party rights.
15.3 No other warranties — express or implied — are given by either party beyond those stated in these Terms and Conditions.
Neeko shall not be held liable for any delay or failure to deliver services resulting from circumstances beyond our reasonable control, including natural disasters, government actions, internet or platform outages, or any other event that could not reasonably have been foreseen or prevented.
17.1 These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia.
17.2 In the event of any dispute arising from or in connection with these Terms and Conditions, both parties agree to first attempt resolution through good-faith negotiation within thirty days of the dispute being raised in writing.
17.3 If a dispute cannot be resolved through negotiation, it shall be referred to the courts of Malaysia, which shall have exclusive jurisdiction.
Neeko reserves the right to update these Terms and Conditions at any time. The updated version will be published at neeko.my with a revised “Last Updated” date. Continued engagement with Neeko’s services after the publication of updated Terms constitutes acceptance of the revised Terms.
These Terms and Conditions, together with the applicable service proposal or invoice accepted by the Client, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements relating to the subject matter.
